Mergers & Acquisitions
Whether our clients are contemplating a merger or an acquisition,
Ciuni & Panichi assists clients in investigating the opportunity
by assessing the health of the company, the financial statement
picture, the sustainable financial performance going forward,
and the overall risk level associated with the acquisition.
Some of the specific services we perform are:
- Determine a valuation range for the business
- Determine the funding structure of the acquisition
- Determine
transaction structure and pricing
- Assist our client in determining
an offer that meets all of their objectives and a strategy
to negotiate that offer
- Financial due diligence (we verify the information
on a more detailed level and look for items that would
make us adjust the deal)
- Assist in the development of purchase documents
- Assist with
the integration of the business after the closing
Financial Forecasts & Projections
We work with our client in an acquisition to develop projected
financial statements that are used to evaluate the company and
the proposed
deal as well as to be used to obtain financing. The projections
take the business deal into account, as well as the trends
in the business and all financial reporting and tax aspects.
We perform Sensitivity Analyses to help understand the best case
and worst case scenarios for the business and help us set up the
proper financing structure.
Assistance in Financing
We can assist in securing financing for the acquisition through
our contacts with banks, mezzanine lending funds, and government
loan
programs. Our involvement includes:
- Developing a financing
structure
- Prepare the financing request package
- Determine the sources
to approach
- Market the package to those sources
- Represent the company in
the negotiations with the lenders
- Review of the financing documents

Fraud Prevention
Can You Afford to Lose 6% of Your Revenue?
One third of all American workers have committed asset misappropriation
while on the job. Asset misappropriation encompasses more than
theft or embezzlement – it also includes adverse behavior
such as an employee using company equipment for his or her
own personal benefit.
-
The most damaging asset misappropriations effect organizations
with less than 100 employees.
-
The average length of time for this type of fraud to be discovered
is 18 months.
-
The average organization loses about 6 percent of its total
annual revenue to asset misappropriation committed by its
own employees.
Asset misappropriation can occur in organizations of all sizes by
employees at all levels.
Ciuni & Panichi’s Internal Controls Checkup uncovers areas
for improvement in your organization’s financial recording
and reporting in order to help prevent asset misappropriation.
The Internal Controls Checkup is inexpensive and requires a minimal
time
investment. Unfortunately, the same cannot be said of the time
and money required to recover from asset misappropriation that
goes undetected.
